Terms of Service (3rd Party API)

Here are our standard Terms of Service for 3rd Party API Integrations. Please read carefully, and in conjunction with our Privacy Policy which is deemed to be incorporated into these terms.

These Terms of Service ("Terms") govern your access to and use of the Audience Republic Third Party API available at https://developer.arep.co (the “API”), provided by Audience Republic Pty Ltd (“Audience Republic”, “we”, “us”, or “our”). By accessing or using the API, you (“you”, “your”, or “API User”) agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, do not access or use the API.

1. API Access and Data Transmission

1.1 You may apply for API access by contacting support@audiencerepublic.com. Access is granted at our sole discretion, and on a case by case basis. We do not guarantee availability of API access to all applicants.

1.2 You may access and use the API solely for the purpose of securely transmitting authorized data, including but not limited to:

  • Event data
  • Order data
  • Contact data

1.3 You represent and warrant that:

  • You have all necessary rights and permissions to transmit the data;
  • The data complies with all applicable privacy, data protection, and other relevant laws.

2. Data Accuracy and Format

2.1 You are solely responsible for ensuring the accuracy, structure, format, and integrity of the data you send via the API.

2.2 If defective data (e.g. malformed, duplicate, incomplete, or corrupted) is submitted:

  • You accept full responsibility for consequences, including delays or data loss; and
  • You agree to cover the cost of any reprocessing, remediation, or manual correction if Audience Republic determines such action is necessary. However, we are under no obligation to perform such actions and make no guarantees that we will do so.

3. Security and Compliance

3.1 You agree to maintain appropriate administrative, technical, and organizational measures to ensure data security and compliance with applicable laws.

3.2 You must not transmit any data that:

  • You are not authorized to share;
  • Infringes any third-party rights;
  • Violates applicable laws or regulations.

4. Rate Limits and Fair Use

4.1 Your access to the API may be subject to rate limits and usage quotas.

4.2 Abuse of the API—such as sustained high-frequency calls, unauthorized scraping, or bypassing of limits—may result in suspension or termination of access.

5. Support

5.1 API support is not provided by default. If support is offered, it may be subject to additional charges and will be provided at our discretion.

6. Indemnification

You agree to indemnify and hold harmless Audience Republic and its affiliates, directors, officers, employees, and contractors from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from:

  • Use of our API;
  • Your breach of these Terms;
  • Any security incident or data breach caused by your systems or access;
  • Any legal or regulatory claim arising from the data you transmit.

7. Warranty Disclaimer and Limitation of Liability

7.1 The API is provided "as is" and "as available" with no warranties, express or implied.

7.2 We make no guarantees regarding uptime, availability, accuracy, or fitness for a particular purpose.

7.3 To the maximum extent permitted by law, Audience Republic shall not be liable for any indirect, incidental, or consequential damages arising from your use of the API.

8. Changes to the API or Terms

8.1 We reserve the right to modify the API, its functionality, or these Terms at any time. Material changes will be communicated via our developer portal or email.

8.2 Continued use of the API after changes are made constitutes your acceptance of the updated Terms.

9. Termination

9.1 We may suspend or revoke your API access at any time for violation of these Terms or to protect the integrity and security of our systems.

9.2 Upon termination, you must immediately cease all API usage and delete any cached or stored data obtained via the API.

10. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
